Notes

  1. A consumer who has concluded a distance or off‑premises contract may withdraw from it within 14 days without giving any reason and without costs, except the costs specified in Articles 33, 34(2), and 35 of the Act on Consumer Rights. The right of withdrawal does not apply to a Sales Agreement for services where the item is supplied in sealed packaging that cannot be returned after opening for health or hygiene reasons if the packaging was opened after delivery.
  2. Under Article 7a(1) of the Act on Consumer Rights, the Seller will respond to the Customer’s complaint within 14 days of receipt.

Terms and conditions

1. Preliminary Provisions

  1. The BIOWELL LABS online store is available at https://biowellglobal.com. The Store is operated by the Seller (Damian Krawczyk, conducting business under the name: Biowell Damian Krawczyk, entered in the Central Registration and Information on Business (CEIDG) kept by the minister competent for the economy, with its registered office in Warsaw at ul. Krakowskie Przedmieście 79, 00-079 Warsaw, NIP: 5272855706, REGON: 380488671).
  2. These Terms and Conditions are addressed to both Consumers and Business Customers using the Store, as well as other Users of the website.
  3. These Terms and Conditions set out the rules for using the Store and the rules and procedure for concluding Distance Sales Agreements with the Customer via the Store.
  4. Purchasing goods and ordering services at https://biowellglobal.com constitutes acknowledgment and acceptance of these Terms and Conditions, as well as an undertaking by both parties to comply with them.
  5. Unauthorized use of the Store is prohibited, e.g., copying content from the website without citing its source (author, link).
  6. The Store and its contents (logo, graphics, articles, and other materials) are protected by copyright and other intellectual property laws.

2. Seller of Record, Payments, and Fulfillment

Payments

  • All orders placed on biowellglobal.com are purchased from and paid to BioWell Damian Krawczyk (Poland).
  • Charges are made in U.S. dollars (USD) and settled to a bank account in Poland.
  • Your card issuer or bank may apply international transaction and/or currency conversion fees, if applicable.
  • Your statement descriptor may appear as “BioWell” or “BioWell Damian Krawczyk (PL)”.
  • Payments may be technically processed by authorized payment service providers; however, the beneficiary of funds is BioWell Damian Krawczyk (Poland).

3. Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings indicated below:

  1. Consumer – a natural person who concludes an agreement with the Seller within the Store, the subject of which is not directly related to that person’s business or professional activity.
  2. Seller – Damian Krawczyk, conducting business under the name: Biowell Damian Krawczyk, entered in CEIDG, with its registered office in Warsaw at ul. Krakowskie Przedmieście 79, 00-079 Warsaw, NIP: 5272855706, REGON: 380488671.
  3. Customer – any entity making purchases via the Store.
  4. Business Customer – a natural person, legal person, or organizational unit without legal personality, to which a separate act grants legal capacity, conducting business in its own name, that uses the Store.
  5. Store – the online store operated by the Seller at biowellglobal.com.
  6. Distance Contract – a contract concluded with the Customer within an organized distance contracting system (the Store), without the simultaneous physical presence of the parties, with the exclusive use of one or more means of distance communication up to and including the time the contract is concluded.
  7. Terms and Conditions – these terms of use for the Store.
  8. Order – the Customer’s declaration of intent submitted via the Order Form and directly leading to the conclusion of a Sales Agreement for one or more Products with the Seller.
  9. Account – the Customer’s account in the Store, where the data provided by the Customer and information on the Orders placed in the Store are stored.
  10. Registration Form – a form available in the Store enabling the Customer to create an Account.
  11. Order Form – an interactive form available in the Store enabling the Customer to place an Order, in particular by adding Products to the Cart and specifying the terms of the Sales Agreement, including the delivery and payment method.
  12. Cart – a part of the Store software where the Products selected by the Customer for purchase are visible, and where it is possible to determine and modify Order data, in particular the quantity of Products.
  13. Product – a movable item and/or service available in the Store and the subject of a Sales Agreement between the Customer and the Seller.
  14. Sales Agreement – a contract for the sale of a Product concluded between the Customer and the Seller via the online Store. Depending on the nature of the Product, the term also includes a service agreement or contract for specific work.
  15. Service lead time – the period within which the Customer’s order should be fulfilled by the Seller; days when the Customer has not made payment for ordered services are not included in this period.
  16. Business days – Monday through Friday, excluding public holidays in Poland.
  17. User – a person visiting the website at biowellglobal.com.

5. Conditions of Use

  1. To use the Store properly, the User must have Internet access, a web browser, and cookies enabled. To place an Order, an active email account is required.
  2. Customers may place Orders for Products in the Store’s assortment either after creating an Account or by providing the necessary personal and address data to fulfill the Order without creating an Account. Browsing the Store’s assortment does not require an Account.
  3. Creating an Account requires completing the Registration Form and contact details and is free of charge. Logging in requires an email address and password. The Customer may delete the Account at any time, free of charge and without reason, by sending a request to the Seller (by email or in writing to the addresses provided in Section 4).

General Information

  1. Products available on biowellglobal.com can be purchased via the Store.
  2. To the maximum extent permitted by law, the Seller is not liable for disruptions, including interruptions in the operation of the Store, caused by force majeure, unlawful actions of third parties, or incompatibility of the online Store with the Customer’s technical infrastructure.
  3. Order placement occurs via the website https://biowellglobal.com by adding a Product to the Cart, providing the necessary data, and confirming the Order.
  4. Prices displayed on biowellglobal.com are for informational purposes only and do not constitute an offer. All prices are in U.S. dollars and are subject to change without notice. Applicable sales taxes, shipping, and handling will be calculated and added at checkout. The price applicable to your order is the price displayed with the Product at the time you submit your order. We reserve the right to correct errors and to cancel any orders placed at an incorrect price.
  5. The final amount payable by the Customer consists of the Product price and delivery costs (including transport, delivery, and postal services), of which the Customer is informed during Order placement, including at the time of expressing the will to be bound by the Sales Agreement.
  6. If the nature of the subject of the Agreement does not allow, acting reasonably, for prior calculation of the final price, information about how the price will be calculated and about transport, delivery, postal, and other costs will be provided in the Product description in the Store.

6. Product Information in the Store

  1. The substances presented in the Store are not intended for use by humans or animals (including consumption). All items sold by the Seller in the Store are for scientific, research, and analytical purposes only. They are chemical substances and/or reference materials, which the Customer acknowledges.
  2. The Seller is not liable for improper use of Products purchased in the Store, especially any use or consumption by the Customer. The Seller is not responsible for any consequences resulting from the improper use of the Products for purposes other than in‑vitro laboratory research, including any use on humans or animals.
  3. The Seller is not liable for defects arising from improper handling by the Customer, including failure to observe appropriate safety rules for storage or preparation of substances for research purposes.
  4. Each Product (i.e., reference material/chemical substance) available in the Store has test documentation and a Safety Data Sheet (SDS) available for review to ensure safe transport, storage, and research use.
  5. The Seller reserves the right to refuse to sell any Product (i.e., cancel an Order) if it deems that the Customer may not be affiliated with any research institution, laboratory, university, or chemistry club. The Customer will be notified by email without delay. If the Customer prepaid for the Product, the full amount will be refunded to the Customer’s bank account within 5 business days.
  6. By placing an Order in the Store, each Customer confirms they have reviewed the Product’s SDS, test documentation, and risks that may occur during transport, storage, and use of the Products offered in the Store.
  7. The Seller does not provide guidance regarding the use of substances sold in the Store for research or any other purposes. The Seller is a distributor of the Products available in the Store, not their manufacturer.
  8. Responsibility for import regulations
    Products sold by BioWell Labs are for research purposes only and are not approved for human consumption. By purchasing, the Customer confirms responsibility for ensuring import compliance with the destination country’s regulations. BioWell Labs is not responsible for decisions by customs or other control authorities, including possible confiscations, penalties, taxes, or delays arising from local laws. If a shipment is detained or destroyed by authorities in the recipient’s country, no refund is due unless the shipment returns to the sender intact.

Legal Compliance: All chemical compounds available for purchase on this website are for laboratory research and scientific purposes only. They are not marketed as medicinal products or prescription drugs, nor are they intended for diagnostic, therapeutic, dietary, or veterinary applications. Products are labeled prominently with: “Chemical Compound: research & laboratory use only”. In line with U.S. FDA regulation 21 CFR 312.6(b), as well as applicable EU and Polish law, these products are not subject to pharmaceutical sales regulations as they are not supplied or suggested for human or animal consumption.

7. Intended Use and Legal Compliance

All chemical compounds offered for sale on biowellglobal.com are intended strictly for laboratory research and scientific purposes only. They are neither marketed nor supplied as medicinal products, pharmaceutical preparations, supplements, or for any purpose involving human or veterinary consumption.

All products are labeled and supplied in accordance with applicable regulations, including United States FDA regulation 21 CFR 312.6(b): “A drug shipped or delivered for investigational use in humans shall be plainly labeled in accordance with this section and with the statement ‘Caution: New Drug—Limited by Federal (or United States) law to investigational use.’” In accordance with this statute, and equivalent EU and Polish law, our products are not promoted, advertised, or sold for human or veterinary therapeutic, diagnostic, dietary, or consumption uses.

BioWell Labs’ activities do not constitute the unlawful distribution, promotion, or sale of prescription medications. We do not provide prescription services, and do not allow the use of our products for purposes governed by pharmaceutical laws. Any suggestion or attempt to use the products for human or veterinary consumption is strictly prohibited and will result in immediate cancellation of the order and possible notification to authorities.

The Customer, by placing an order, agrees to use the products exclusively for lawful research and laboratory purposes, and bears full responsibility for compliance with applicable import, storage, safety and usage laws in the jurisdiction of use.

8. Placing an Order

To place an Order:

  1. Select the Product and click “Add to cart,” then review the Products in the Cart and click “Checkout.”
  2. Log in to your Account or place the Order without registration.
  3. If placing an Order without registration, complete the Order Form with the recipient’s details and delivery address, choose the delivery method, and provide invoice details if different from the recipient’s data.
  4. Click “Order and pay” and, if applicable, confirm the Order by clicking the link sent by email.
  5. Choose a payment method and, depending on the method, pay within the specified time, subject to Section 9(3).

9. Delivery Methods, Delivery Times, and Payments

Delivery methods and indicative rates

  3. FedEx / UPS Standard – from $14.90 (2–4 business days, depending on state)

10. Performance of the Sales Agreement

  1. The Sales Agreement between the Customer and the Seller is concluded after the Customer places an Order via the Order Form in accordance with Section 7.
  2. After the Order is placed, the Seller promptly confirms receipt and accepts it for processing by sending an email to the address provided by the Customer. The email includes confirmation of receipt and acceptance and confirmation of the Sales Agreement. The Sales Agreement is concluded upon sending this email.
  3. Payment: for card payments or digital wallets (Google Pay, Apple Pay), the Customer must make payment within 2 calendar days from the date of conclusion of the Sales Agreement; otherwise, the Order may be cancelled.
  4. Dispatch time: if delivery (shipping) is selected, the Product will be dispatched within the time indicated in its description, using the method selected during Order placement.
  5. For Orders containing Products with different delivery times, the delivery time is the longest stated time among the ordered Products. The Customer may request partial deliveries or delivery of all Products after the entire Order is complete.
  6. Start of the delivery time:
    1. For card payments and digital wallets – from the moment of positive payment authorization or from the date the Seller’s account is credited.
  7. Product delivery is available within the United States.
  8. Delivery is chargeable unless the Sales Agreement provides otherwise. Delivery costs (including transport, delivery, and postal services) are indicated during Order placement, including at the time the Customer expresses the will to be bound by the Sales Agreement.

11. Right of Withdrawal / Returns

  1. Under Polish law, a Consumer who has concluded a distance or off-premises contract may withdraw from it within 14 days without giving any reason and without costs, except as provided in Articles 33, 34(2), and 35 of the Act of 30 May 2014 on Consumer Rights.
  2. The withdrawal period begins on the day the Product is delivered to the Consumer or a person indicated by the Consumer other than the carrier.
  3. For a contract covering multiple Products delivered separately, in batches, or in parts, the period runs from the delivery of the last item, batch, or part.
  4. For contracts involving regular delivery of Products over a fixed period (subscription), the period runs from taking possession of the first item.
  5. The Consumer may withdraw by submitting a statement to the Seller. Sending the statement before the deadline is sufficient to meet the deadline.
  6. The statement may be sent by post or by email to the Seller’s address or submitted via the Seller’s website (contact data in Section 4). A model withdrawal form is attached as Annex 1 to these Terms and Conditions and to the Act of 30 May 2014 on Consumer Rights.
  7. If the Consumer sends the withdrawal statement electronically, the Seller will promptly confirm receipt by email.
  8. Effects of withdrawal:
    1. Upon withdrawal from a distance contract, the contract is deemed not concluded.
    2. The Seller will reimburse all payments received from the Consumer, including delivery costs (except additional costs resulting from a delivery method chosen by the Consumer other than the least expensive standard method offered by the Seller), without delay and no later than 14 days from receiving the Consumer’s statement of withdrawal.
    3. The Seller will reimburse using the same payment method used by the Customer, unless the Customer has expressly agreed to a different method that does not incur any costs. Refunds are issued in U.S. dollars (USD) by BioWell Damian Krawczyk (Poland) to the original payment method; your bank or card issuer may apply international transaction and/or currency conversion fees.
    4. The Seller may withhold reimbursement until it has received the Product back or until the Consumer has supplied evidence of having sent back the Product, whichever is earlier.
    5. Return address and authorization: Returns must be authorized by the Seller. After submitting your withdrawal/return request, you will receive a return authorization number (RMA) and instructions. Unless otherwise instructed, U.S. customers should ship returns to: BioWell America LLC, 790 North Milwaukee Street, Milwaukee, WI 53202, USA, Attn: Returns (RMA: [number]). BioWell America LLC accepts returns only as an authorized receiving agent on behalf of BioWell Damian Krawczyk (Poland).
    6. The Consumer bears the direct cost of returning the Product if, due to its nature, it cannot be returned by ordinary post.
    7. The Consumer is liable only for any diminished value of the Product resulting from handling it in a manner other than necessary to establish the nature, characteristics, and functioning of the Product.
    8. If, due to the nature of the Product, it cannot be returned by ordinary post, information about this and the return cost will be provided in the Product description.
  9. The right of withdrawal does not apply to contracts:
    1. For non-prefabricated items made to the Consumer’s specifications or clearly personalized.
    2. For items supplied sealed that are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery.
    3. For items liable to deteriorate or expire rapidly.
    4. For services, after the service has been fully performed by the Seller with the Consumer’s prior express consent and acknowledgment of losing the right of withdrawal once performance has begun.
    5. Where the price depends on fluctuations in the financial market beyond the Seller’s control and which may occur within the withdrawal period.

12. Exclusions from the Right of Withdrawal

The right of withdrawal from a distance contract does not apply to contracts:

  1. For non-prefabricated items made to the Consumer’s specifications or clearly personalized.
  2. For items supplied sealed that are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery.
  3. For items liable to deteriorate or expire rapidly.
  4. For services, after the service has been fully performed by the Seller with the Consumer’s prior express consent and acknowledgment of losing the right of withdrawal.
  5. Where the price depends on financial market fluctuations beyond the Seller’s control and which may occur within the withdrawal period.
  6. For Products clearly marked as for laboratory research use only (including peptides, chemical compounds, and other products labeled “For research use only / Not for human consumption”). Due to their specialist nature, the need to maintain continuous storage conditions (especially temperature), and the inability to reintroduce them to trade, such Products are not eligible for return or exchange.

13. Complaints and Warranty

  1. New Products are covered by the Sales Agreement.
  2. The Seller is obliged to provide the Customer with goods free from physical and legal defects.
  3. In the event of a defect in goods purchased from the Seller, the Customer has the right to file a complaint pursuant to the Civil Code.
  4. Complaints should be submitted by email to: info@biowellglobal.com using the complaint form (Annex 2 to these Terms and Conditions).
  5. The complaint should include a concise description of the defect, the circumstances (including date) of its occurrence, the Customer’s data, and the Customer’s request related to the defect.
  6. Products returned under the complaint procedure should be sent to the Seller’s address indicated in Section 4 or, for U.S. customers and only upon authorization from the Seller, to the fulfillment center address indicated in Section 2.
  7. The Seller will respond to the complaint within 14 calendar days of receipt.
  8. If a Product is covered by a warranty, the information and terms will be included in the Product description in the Store, and a warranty card will be provided with the Product.

14. Out-of-Court Complaint Procedures and Redress

  1. Detailed information on the possibility for Consumers to use out-of-court complaint and redress procedures and on access to these procedures is available at the offices and on the websites of district (municipal) consumer ombudsmen, consumer organizations, Provincial Inspectorates of Trade Inspection, and on the following websites of the Office of Competition and Consumer Protection (UOKiK):
  2. Examples of out-of-court redress options for Consumers:
    1. Referring the case to a permanent consumer arbitration court (Article 37 of the Act of 15 December 2000 on Trade Inspection) to resolve a dispute arising from a contract concluded with the Seller.
    2. Requesting mediation before a Provincial Inspector of Trade Inspection (Article 36 of the Act of 15 December 2000 on Trade Inspection) for amicable settlement of a dispute between the Consumer and the Seller.
    3. Obtaining free assistance from a district (municipal) consumer ombudsman or a consumer organization (e.g., the Consumer Federation, the Polish Consumer Association).
    4. Submitting a complaint via the EU ODR platform: http://ec.europa.eu/consumers/odr/

15. Personal Data in the Online Store

Pursuant to Article 13(1) and (2) of the GDPR, the Seller informs that:

  1. The controller of the personal data of Users and Customers of biowellglobal.com is Damian Krawczyk, conducting business under the name: BIOWELL Damian Krawczyk, entered in CEIDG, with its registered office in Warsaw at ul. Krakowskie Przedmieście 79, 00-079 Warsaw, NIP: 5272855706, REGON: 380488671, who operates the Store at biowellglobal.com.
  2. Users’ personal data are processed to collect information about the User’s access to the website (e.g., time spent on the site and usage patterns) and preferences, in order to optimize the website’s operation and tailor it to the User’s needs, in accordance with the GDPR.
  3. Customers’ personal data are processed to perform the Sales Agreement for Products available in the Store. If the Customer gives consent, data will also be processed for marketing purposes (newsletter).
  4. The recipients of Users’ and Customers’ personal data will be exclusively Damian Krawczyk (BIOWELL Damian Krawczyk) and his authorized staff, as well as:
    1. For Customers using postal or courier delivery, the Controller will share personal data with the selected carrier or intermediary handling shipments on behalf of the Controller.
    2. For Customers using electronic payments (card payments and digital wallets), the Controller will share personal data with the selected entity processing payments in the Store.
  5. For security reasons and Google Analytics requirements, backup copies of Users’ personal data are retained for 3 years from the date of a single website visit.
  6. For security and claims purposes, backup copies of Customers’ personal data (name, email address, residence, and other data) are retained for 1 year from the date of the sales agreement.
  7. Customers and Users have the right to access, rectify, delete, or restrict processing of their data, the right to data portability, to object, and to withdraw consent at any time without affecting the lawfulness of processing before withdrawal. Requests may be sent to: info@biowellglobal.com
  8. Customers and Users have the right to lodge a complaint with GIODO if they believe their personal data are processed in violation of the GDPR.
  9. Providing personal data by the User is voluntary but necessary to visit the website (legal basis: Article 6(1)(b) GDPR).
  10. Providing personal data by the Customer is voluntary but necessary to perform the Sales Agreement for Products (legal basis: Article 6(1)(b) GDPR).
  11. Customers’ and Users’ personal data will be processed in an electronic system.

16. Final Provisions

  1. Contracts concluded via the online Store are concluded in Polish.
  2. The Seller reserves the right to amend the Terms and Conditions for important reasons, i.e., changes in law or payment/delivery methods, to the extent these changes affect the implementation of the Terms. The Seller will notify the Customer by email at least 7 days in advance.
  3. In matters not regulated herein, the provisions of the Civil Code and consumer protection legislation apply.
  4. Any disputes arising from these Terms and from contracts concluded between the Parties shall be resolved amicably where possible.
  5. The annexes listed below form an integral part of these Terms and Conditions.

These Terms and Conditions enter into force on 5 February 2022.
